Corporate law

  • agreements between a company and partners (financing, raising/lowering capital), including the common assets of marriage within the framework of a business
  • mutual agreements between partners (transferring or pledging commercial shares or stock)

Once an offer is pronounced it is difficult in the course of negotiations to alter it; therefore, it is always advantageous to check the origin of the goods and even vet the contractual partners (risk management audit, legal due diligence), and that on both the national and international level. In connection to this, an emphasis is placed before all else on the commercial and financial context of the negotiations with the goal of minimizing the financial burden on the client. Being aware of such information, the client can be forewarned of tactical and technical mistakes during negotiations with the other side.

CEAG considers as part of its key know-how in this area its knowledge of the current (and often contradictory) adjudication of the Supreme Court of the Czech Republic, the Highest Administrative Court of the Czech Republic, and the Constitutional Court of the Czech Republic in relation to the transfer and encumbrance of real estate (whether by pledges, easements and rights of usage or lease agreements) in connection to construction or land-planning proceedings.

CEAG’s advisory services in the area of compensation for damages includes, besides the standard disputes, also support in recovering compensation for damages to health and claims against the state, caused by the state or its authorities as the result of improper steps being taken or illegal bureaucratic decisions, even unlawful court decisions.

Although the predominant portion of CEAG’s clients are multinational entities, from mid to large size companies in the Czech Republic, CEAG also provides advisory services to many individuals and non-businesses.
